Triennial Election of Directors and Board Executive

At the General Meeting of the Foundation held on 22 October 2019 the Members passed a Special Resolution adopting the new Constitution of the Foundation.

Clause 10.8 of the Constitution introduces the triennial election of Directors and 3-year terms of office for Directors. This will ensure continuity of a particular Director’s skills and attributes as well as a continuity of representation on the Board which is vital to the implementation of policies and strategies on behalf of the Foundation.

We are pleased to advise that at the Board meeting held on 19 February 2020 the following three groups of Directors were determined by agreement among the Directors:

Group 1 (holding office for 1 year)
Stuart Dickinson
Owen Finegan
Stirling Mortlock

Group 2 (holding office for 2 years)
Robert Bradley
Adam Freier
James Maxwell

Group 3 (holding office for 3 years)
Angus Bruxner
Peter Whittington
Paula Ward

Once a period of three years has elapsed, the triennial election procedure allows one-third of a current Board of 9 Directors to still ‘roll over’ each year.

The Board also appointed its Executive in accordance with Clause 20 of the Constitution, a process which replaces the former procedure whereby the President, Vice President and Treasurer were elected directly by the Members.

The Foundation is pleased to announce the appointment of an unchanged Executive (albeit with two new titles) comprising:

Angus Bruxner – Chairman
Peter Whittington – Deputy Chairman
Stirling Mortlock – Treasurer
